What is a confirmation statement?

Every year, companies are legally required to confirm that the information Companies House hold on the register about the company is correct. This includes the company name, company registered office address, company director(s), shareholder(s) and Persons of Significant Control (PSCs).


What happens if you don’t file a confirmation statement?

Failure to file the confirmation statement before the due date is a criminal offence which can result in directors being fined personally in the criminal courts. In addition, not filing the confirmation statement risks the company being struck off the register of Companies House.


What is an overdue confirmation statement?

If you receive a letter from Companies House stating that your confirmation statement is overdue, you will need to file immediately.
- Your company will be struck off if you don’t send the confirmation statement.
- You can get an unlimited fine.
- Your credit rating will be affected.

When do I need to file a confirmation statement?

You must file at least one confirmation statement every 12 months. This has to be filed no later than 14 days after the anniversary of your company incorporation.


Can you file a confirmation statement early?

Yes you can! Companies are legally required to file one confirmation statement a year. However, you can choose to file your confirmation statement early, or more than once a year. If you decide to file early, it will start a new 12 month ‘review period’ and your next statement will be due at the end of this period.


How long does it take to file a confirmation statement?

Once your confirmation statement has been submitted to Companies House, it is typically filed within a few hours and no more than one business day.


What details do I need to provide to file a confirmation statement?

In most cases we can prepare your confirmation statement without requesting any information from you. If you wish to make any changes to your company (e.g. change name or add a director), you will need to amend your details before submitting your confirmation statement.To file your confirmation statement you will need to provide your authentication code. The authentication code is a 6 digit alphanumeric code issued by Companies House to each company. The code is used to authorise information filed online and is the equivalent of a company officer’s signature. If you do not have your code, we will be able to request for the code to be sent to your registered office address within 2 to 5 working days.
